KEY RISKS
19
ASX: YRL | YANDALRESOURCES. COM. AU
■ Exploration and discovery
Mineral exploration is speculative. The Arrakis and Siona discoveries and other targets at the
Ironstone Well-Barwidgee (IWB) Gold Project are at an early stage. There is no assurance
that further exploration will define an economic deposit, or that encouraging drill results will
form part of a Mineral Resource. Exploration may be affected by geological conditions,
adverse weather and technical difficulties. Unsuccessful exploration may reduce the value
of the Company's projects, deplete cash reserves and lead to the relinquishment of tenure.
■ Mineral Resource estimates
The Company's Mineral Resource inventory of approximately 450,200 ounces of gold
(Flushing Meadows and Mt McClure) is classified as Indicated and Inferred, and no Ore
Reserve has been estimated. Resource estimates are expressions of judgement based on
drilling, sampling and interpretation, and may change materially as new information
becomes available. Inferred Resources carry a low level of geological confidence and
there is no certainty that they will be upgraded to Indicated or Measured Resources or
converted to Ore Reserves.
■ Future funding and going concern
The Company does not generate operating revenue and will require further funding to
advance exploration and any future development. The Company recorded a net loss after
tax of $12.27 million for FY26 and held cash of $9.66 million at 30 June 2026. The FY26
financial report identifies a material uncertainty regarding the Company's ability to continue
as a going concern. There is no assurance that funding will be available on acceptable
terms, or at all. Equity raisings may dilute shareholders, and a failure to raise funds may
require the Company to scale back its programmes.
■ Tenure
The Company's tenements are subject to renewal, minimum expenditure and other
conditions under the Mining Act 1978 (WA). Renewal is at the discretion of the relevant
authority. Non-compliance may result in forfeiture or in third-party plaint applications. Five
tenement applications were pending at the date of the FY26 annual report. There is no
assurance that they will be granted, or granted in their entirety.
■ Native title, Aboriginal heritage and land access
Native title rights exist over parts of the Company's tenure. Grant of tenure, access and any
progression to development may require agreements with native title parties and
compliance with the Native Title Act 1993 (Cth) and the Aboriginal Heritage Act 1972 (WA),
which may cause delay or additional cost. Sites of heritage significance may restrict
activities in affected areas. Access may also require arrangements with pastoral lessees and
other land users.
■ Key personnel and management transition
The Company depends on a small number of directors, executives and technical personnel.
The loss of key personnel, or a delay in appointing suitable replacements, could disrupt
exploration programmes and the execution of the Company's strategy.
KEY RISKS
20
ASX: YRL | YANDALRESOURCES. COM. AU
■ Development and processing pathway
The Company is targeting increases in its gold resources and is considering
processing options including toll-treatment at neighbouring facilities or
construction of a standalone processing plant. Any development will
depend on positive technical and economic studies, regulatory approvals,
project funding and, for toll-treatment, access to third-party processing
capacity on acceptable terms. None of these outcomes is assured.
■ Contractor availability and cost inflation
The Company relies on third-party contractors for drilling, assaying and other
technical services. Demand for these services and for skilled labour in
Western Australia is cyclical and competitive. Shortages, delays in assay
turnaround or increases in costs may delay programmes and reduce the
amount of work the Company can complete within its budgets. Contractor
default or underperformance may also adversely affect the Company.
■ Health and safety
Exploration in remote areas carries inherent safety risks, including those
associated with drilling, vehicle travel and remote camp operations. The
Company is subject to the Work Health and Safety Act 2020 (WA) and
associated mines safety regulations. A serious incident could result in injury,
regulatory action, penalties, work stoppages and reputational harm.
■ Environmental, rehabilitation and climate change
The Company's activities are subject to environmental laws and tenement
conditions, including obligations to rehabilitate disturbed land and, where
applicable, to contribute to the Mining Rehabilitation Fund. The extent and
cost of rehabilitation obligations remain uncertain. New or expanded
regulation associated with the transition to a lower-carbon economy, and
physical climate risks such as extreme weather events, may delay activities
or increase costs.
■ Gold price and exchange rates
The value of the Company's projects, the economics of any future
development and the Company's ability to raise funds are influenced by the
gold price. The gold price is volatile and driven by factors outside the
Company's control, including global demand, central bank activity, interest
rates and geopolitical events. As gold is priced in US dollars, movements in
the A$/US$ exchange rate will also affect the Australian dollar gold price.
■ Economic and market conditions
Global geopolitical tensions, inflation and interest rate settings may contract
credit markets and cause volatility in equity, commodity, foreign exchange
and precious metal markets. A slowdown in financial markets or other
adverse economic conditions may affect the Company's share price,
growth potential and ability to finance its activities.
KEY RISKS
21
ASX: YRL | YANDALRESOURCES. COM. AU
■ Investment speculative and share market risk
An investment in the Company is speculative. The price of the Company's
shares may fluctuate due to factors unrelated to its performance, including
general market sentiment and investor appetite for exploration companies.
Trading in the Company's shares may at times be illiquid, and investors may
not be able to sell at or above the price they paid.
■ Government regulation and taxation
Future development of the Company's projects will require approvals from
government authorities. Adverse changes in Western Australian or
Commonwealth policy or legislation affecting exploration, mining, royalties,
taxation or the environment, or a change in how existing laws are applied,
may affect the viability of the Company's projects.
■ Insurance
Insurance may not be available for all risks the Company faces, or on
acceptable terms, and may not cover the full amount of a claim. An
uninsured or under-insured loss could adversely affect the Company's
financial position.
■ Litigation and counterparty risk
The Company may become involved in disputes with contractors,
counterparties, landholders, native title parties or regulators. Disputes may
be costly and divert management time. The Company also relies on
counterparties performing their contractual obligations.
The risks set out in this presentation are not exhaustive. Additional risks not presently known to the Company, or presently considered immaterial, may also affect its performance. Investors should read this presentation together
with the Company's ASX announcements and seek professional advice before investing.
