Appendix 4G and Corporate Governance Statement
Summary
Yandal's corporate governance statement for the year to 30 June 2026 has been lodged with the ASX, confirming how our board and management practices measure up against the ASX Corporate Governance Council's recommendations.
The short version: we comply with the large majority of the Council's recommendations, and where we don't, we've explained why. Most of the gaps come down to our size. Our Remuneration and Nomination Committee and our Audit and Risk Committee are each meant to have three members for the full year, but at times during the year they ran with two. Both committees are chaired by an independent director who isn't the board chair, and both charters are on our website.
We've also disclosed that our board chair, Eduard Eshuys, is not considered independent given his substantial shareholding, though he is not the same person as our CEO. Two of our three directors, Greg Evans and Andrew Jackson, are independent, so the board retains an independent majority.
On diversity, we have a policy in place but haven't set measurable gender diversity objectives, a position the board reached because it felt fixed targets would sit awkwardly with our merit-based approach given our current size. Our workforce sits at 15% women overall, with no women currently on the board or in senior executive roles.
None of this changes how the company is run day to day. It's a standard annual disclosure that gives shareholders a clear line of sight into our governance settings and where we've chosen a different approach to the recommended standard.
